Terms and Conditions

1. General Information

This website is operated by CTS Group SRL, registered in Romania under registration number J2015002124225 and VAT number RO35274254. The use of this website by business customers constitutes acceptance of these Terms and Conditions.

If you do not agree with these Terms, you must not use this website.

These Terms apply exclusively to business-to-business (B2B) transactions and therefore EU consumer‑protection rules applicable to consumers (B2C) do not apply.

2. Eligibility

By placing an order, you confirm that:

• you act on behalf of a business entity,

• you are legally authorized to enter into binding agreements on behalf of that entity,

• you are at least 18 years old.

3. Products and Availability

We specialize in the sale and distribution of green (unroasted) coffee beans.

All product descriptions, specifications, and images on the website are for information purposes only. We reserve the right to:

• modify product details,

• discontinue products,

• limit order quantities.

All products are subject to availability.

4. Orders and Contract Formation

An order placed through the website constitutes an offer. The contract is formed only after we issue an order confirmation.

We reserve the right to refuse or cancel orders, including in cases of pricing errors or suspected misuse.

Prices

• All prices are listed in EUR.

• Prices exclude VAT, unless explicitly stated.

• VAT will be added where applicable under EU VAT rules for B2B transactions.

Payments

We accept payment via bank transfer. Payment must be received in full before the order is confirmed and dispatched.

Late payments may incur interest according to EU Directive 2011/7/EU on combating late payment in commercial transactions.

5. Shipping and Delivery

We ship within Romania and the European Union.

Delivery times and shipping costs are shown at checkout. Delivery times are estimates and not guaranteed.

Risk and Ownership

• Risk of loss transfers to the buyer once the goods are handed over to the carrier (Incoterms: EXW or FCA, depending on arrangement).

• Ownership transfers only after full payment is received.

Customs and Import Fees

For deliveries outside Romania, the buyer is responsible for any customs duties, import taxes, or additional charges.

6. Inspection, Returns, and Refunds

Because we supply food‑grade agricultural products, returns are accepted only in the following cases:

• Incorrect item delivered,

• Goods damaged during transport.

Inspection Obligation

According to standard EU commercial practice, the buyer must inspect the goods immediately upon delivery.

You must notify us in writing of any issues within 14 days of receipt. Claims submitted after this period may be rejected.

Returns must be pre‑approved. Refunds will be issued only after the returned goods have been inspected and approved.

We do not accept returns for:

• changes in business needs,

• customer storage issues,

• quality claims resulting from improper handling or roasting.

7. Warranties and Limitation of Liability

We warrant that the products comply with the agreed specifications at the time of dispatch.

To the maximum extent permitted by EU law:

• We are not liable for indirect, incidental, or consequential damages.

• Our total liability is limited to the value of the affected order.

We are not responsible for problems arising from improper storage, processing, or roasting of green coffee beans.

Nothing in these Terms excludes liability for fraud or for any matters that cannot legally be excluded under EU law.

8. Intellectual Property

All content on this website—including text, images, logos, trademarks, and design—is the property of CTS Group SRL and protected under EU intellectual‑property laws.

You may not copy, reproduce, or distribute any content without our prior written consent.

9. Data Protection (GDPR Compliance)

We process personal data in accordance with the EU General Data Protection Regulation (GDPR).

We collect and process data only for purposes such as order management, invoicing, communication, and legal compliance.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Romania, applicable to B2B commercial transactions.

Any disputes shall be resolved by the competent courts in Romania, unless otherwise required by EU‑mandatory jurisdiction rules.
